Driver Warranty Administration Agreement

The minimum contract period is one calendar year but, unless terminated in accordance with the terms and conditions of this agreement, the contract will continue for subsequent annual terms.

Definitions

Customer        = The owner/driver of the vehicle covered by the policy
Client              = The supplying dealer
Administrator   = Assist 24/7, The Monach Building, Frank Perkins Way, Peterborough, Cambridgeshire, PE1 5FQ
Lawgistics       = Lawgistics Ltd, Vinpenta House, High Causeway, Whittlesey, Cambridgeshire, PE7 1AE
Repairer          = A competent repairer of motor vehicles authorised to carry out a repair within the the terms of the warranty on the vehicle covered by the policy


1. Operating parameters must be agreed and signed between Lawgistics, Administrator & Client prior to service commencement.

Administrator/Client/Customer relationship

2. Any repairs authorised by Administrator under the agreed parameter spend limit shall not be disputed by the Client.
 
3. Any repairs authorised by the Client following contact from the Administrator must be identified with an order number allocated by Administrator.
 
4. Upon authorisation of the repair the Client agrees that the Administrator may authorise payment of the Client's funds to the Repairer to pay the whole or part of the charge imposed by the Repairer for that repair.

5. Payments by the Client to the Repairer must be made by credit card or electronic transfer and prior to the repair being undertaken.
 
6. Customers attempting to make claims on vehicles not yet registered with the Administrator will be referred back to the Client.

7. The Administrator will make every effort to maintain a rapid telephone answer response time but cannot guarantee a specific answer time.
 
8. All vehicles must be registered online.

9. The Administrator reserves the right to use and may charge for digital images taken during the course of repair validation/verification
 
10. The Client must update the Administrator giving 7 days notice in writing in the event that they change any details of the policies being issued (e.g. Components covered /excluded)

11. The Client/Customer shall contact the Administrator to report faults/defects for which the customer expects to make a claim prior to taking the vehicle to a garage.
 
12. Any concerns that the Customer or Client has with regard to the service being provided must be notified to the Administrator in writing and be within 3 days of the matter arising. The Administrator will investigate the issues raised and respond back in writing within 5 days.

13. In the event that the Client or Administrator wish to terminate the service being provided then either must give one month's written notice to the other. If required the Administrator will continue to support existing vehicles already registered until the expiry of the last policy.
 
14. In the event of a serious breach of the terms, conditions or parameters governing this agreement, the Administrator reserves the right to terminate or temporarily suspend the service without notice until the issue is resolved to the satisfaction of the Administrator.

15. Upon termination of the service any fee already paid to the Administrator for registration and administration of a warranty policy is not refundable.
 
16. The service will only be offered to the Client subject to a satisfactory credit check.

Lawgistics/Client relationship
 
17. Lawgistics will provide an online account to allow the Client to register vehicles and view repair histories. Basic reports will also be accessible via the online account. Bespoke reports may be requested by email but depending on the complexity of the request an additional charge may be applied.
 
18. The Client agrees to purchase Lawgistics warranty booklets with external administration of claims as detailed in Driver Administration Process ('Driver Administration').

19. Payment for Driver Administration will be made after each calendar month and as detailed on the invoice and unless otherwise agreed will be due 7 days from the date of invoice. In the case of late payment beyond notified credit terms, Lawgistics will exercise its statutory right to interest and compensation for debt recovery costs under the late payment legislation, and Lawgistics may, in such circumstances, suspend performance of its services until payment is received in full including any interest due.
 
20. The price as invoiced will be commensurate with the number of Driver Administrations registered during the relevant calendar month and as detailed in the attached schedule.

21. Prior to the first supply of Driver Administration the Client will pay a start up fee, and deposit, in accordance to the attached schedule, which will be credited to the customers account, and will be commensurate with the anticipated monthly level of Driver Administration registrations. Replacement warranty booklets will be supplied at the time the monthly invoice is raised. In the event that the actual level of Driver Administration registrations exceeds the anticipated level then Lawgistics may require and additional supplementary deposit based on the revised level. In the event that the contract continues into a second year and subsequent years the deposit will continue to be held on account.

22. In the event that the Client/Administrator/Lawgistics wish to cancel this agreement 28 days notice of termination shall be given in writing to the remaining parties Registered Office and cancellation will take effect at the end of the calendar month following that which such written notice is received. In these circumstances the client will be charged for all unpaid Driver Administrations registered and the deposit is non refundable for cancellation in the first year but will be refunded for cancellation thereafter provided the monthly targets have been reached.

23. All quoted prices are exclusive of VAT and at the current prescribed rate on the date of invoice.
